Inbound: brands coming into Australia
Overseas franchise brands — from the US, the UK, Singapore, Korea, Japan — frequently enter Australia through a master franchise structure. The Australian master franchisee takes the country rights and either operates units, sub-franchises, or both.
Inbound work usually centres on three things:
- Code translation. A US Franchise Disclosure Document (FDD) is not a Code-compliant Disclosure Document. The two regimes look similar and aren't. We rebuild the disclosure from scratch to Australian standard.
- Unit economics calibration. Award rates, penalty rates and weekend loadings change the operator P&L meaningfully. A model that works in Texas may not work in Sydney.
- Master franchisee diligence. The single most important hiring decision the brand will make. We help the franchisor assess Australian candidates with the operational and capital depth to do it well.
Outbound: Australian brands going abroad
Successful Australian franchise brands frequently expand into Singapore, Malaysia, New Zealand, the Middle East and (increasingly) North America. The structure decisions are different in each market.
Common patterns:
- New Zealand — typically extended single-unit or area-development, given proximity and similar regulatory environment.
- Singapore / Malaysia — master franchise to a regional partner with local market knowledge and capital.
- Middle East — area-development to family conglomerates with mall relationships.
- North America — much harder. Most Australian brands attempt this too early. We usually counsel patience.
The Asia-Pacific frame
Each jurisdiction has its own franchise registration regime: China's MOFCOM, Korea's FTC, Malaysia's ROFB, Indonesia's Ministry of Trade. We don't pretend to be local counsel in every jurisdiction. We work with established firms in each market and project-manage the cross-border legal stack so the Australian franchisor doesn't have to learn six regulatory systems.
